Effective 25 October 2026 · NXTA
These terms govern the use of NXTA, a hosted business-management platform. By creating an account, or by using an account issued to you, you agree to them on behalf of the company you represent.

1. The service
NXTA is a multi-tenant web application. A subscribing company receives a workspace of its own, with modules for finance, supply chain, manufacturing, human resources, customer relationships, procurement, projects, business intelligence and governance. Which modules and which screens a company sees is decided by the platform from the licence it holds and the roles assigned to its people.
The service is delivered over the public internet. We do not supply hardware, and no software is installed on your machines beyond a web browser.
2. Accounts and security
Accounts are issued to named individuals, never shared. Every sign-in proves a password and then a one-time code sent to the account's mailbox, and platform administrators additionally prove a time-based authenticator code. You are responsible for keeping credentials and mailboxes secure and for telling us promptly if an account is compromised.
A person's access ends when the company ends it, and a terminated or suspended account is refused at sign-in. Suspending an account also stops it counting toward metered usage.
3. Acceptable use
You may not use the service to break the law, to store or transmit unlawful material, to attempt to reach another company's data, to probe or overload the service, or to resell it without a written agreement. Automated access is limited to the documented interfaces; scraping or bulk extraction beyond your own workspace is not permitted.
4. Fees, metering and invoicing
The service is billed monthly in arrears, in US dollars, against meters: a free monthly allowance per meter and graduated rates above it. The meters count the records the workspace actually holds or creates — for example active employee accounts, recorded attendance punches, stored stock items, purchase orders, customer invoices, active projects, tasks and scheduled shifts. The publishedprice listis the catalogue the invoice is rated from.
The first twelve months of a new workspace are free. The twelve months start at the first successful sign-in, not at the request or at provisioning. Meters are still counted and the normal monthly allowances apply, so the workspace can show what it would have cost, but no invoice is issued. The first invoice covers the first full calendar month after the free period ends; the month containing the anniversary is not billed, and no charge is raised for the free period. A workspace that exists when these terms take effect receives the same twelve months from that date.
The month closes on the first day of the following month and produces one invoice per company, payable within 14 days by card or by bank transfer. Card payments are processed by Paddle as merchant of record, who issues the payment receipt and handles the sales tax on that transaction; bank transfers are settled against the invoice. Usage that has been recorded is chargeable even if the related records are deleted later in the same period, because the meter is a record of what was used.
Invoices that remain unpaid move the workspace to read-only and then to suspended, following the schedule described in theRefund & Cancellation Policy. No data is deleted by that process.
5. Term and cancellation
The agreement runs month to month. Either party may end it at the end of the current billing month by written notice to the address in the contact block above. On cancellation the workspace becomes read-only and remains available for export for 30 days, after which it may be deleted.
6. Your data
The business records you enter belong to you. We store and process them to provide the service, and we do not sell them or use them for advertising. Every record is scoped to the company that created it. On request we will export a workspace in a machine-readable form; see thePrivacy Policyfor what is collected and how long it is kept.
7. Availability and support
We aim to keep the service available continuously and to give notice of planned maintenance. Support is by email to the address above during business days. There is no service-level credit in these terms unless a separate written agreement says otherwise.
8. Liability
The service is provided as described here. To the extent the law allows, our total liability arising out of the agreement in any month is limited to the fees invoiced for that month, and we are not liable for indirect or consequential loss, or for loss of profit or data that you did not export. Nothing in these terms limits liability that cannot lawfully be limited.
9. Changes to these terms
We may change these terms; a material change is notified by email to the workspace's administrators and takes effect at the start of the next billing month. Continuing to use the service after that date accepts the change.
10. Governing law
The agreement is governed by the law of ISRAEL, and the courts of that jurisdiction have exclusive jurisdiction over any dispute, without affecting any right you have to bring a claim where you are established.
